Swedish Code of Corporate Governance

Oriflame complies with applicable areas of the Swedish Code of Corporate Governance.

According to the Code, the Nomination Committee is to make recommendations on audit fees. The Nomination Committee has resolved not to propose the Auditor's remuneration to the Annual General Meeting as this is not a matter for General Meetings under the Articles of Association of the Company or under the laws of Luxembourg.

Oriflame does not host its General Meeting in the Swedish language as the location for Oriflame General Meetings is Luxembourg and the majority of voting rights are held by individuals and entities located outside Sweden.
